1. About this Website

These Terms of Use ("Terms") govern your access to and use of the official Federal Ministry of Education website at education.gov.ng and any associated digital services operated by the Ministry ("the Ministry", "we", "us").

By accessing this website you agree to these Terms. If you do not agree, please discontinue use of the site.

2. Eligibility and your organisation

  • You must be at least 18 years old to use the Service.
  • If you create an account on behalf of a care agency or other organisation, you warrant that you have authority to bind that organisation to these Terms. In that case, references to "you" include that organisation.
  • The individual who first registers an organisation is the "Owner". The Owner is responsible for billing, managing team members, and the accuracy of the organisation profile.
  • Team members invited into an organisation must accept these Terms before accessing the Service.

3. Your account

  • You are responsible for keeping your login credentials confidential and for all activity under your account.
  • You must notify us immediately at support@nestadev.com if you suspect unauthorised access.
  • We may suspend accounts where we reasonably believe Terms have been breached, security is at risk, or continued access would contravene applicable law.

4. Plans, trials, and billing

  • Elsa is offered on several plans (Free, Plus, Pro, Growth). The features, usage allowances, and seat counts for each plan are described on our Pricing page and may be updated from time to time.
  • A 7-day free trial of Elsa Pro may be available to new accounts. No payment card is required for the trial. When the trial ends, the account automatically reverts to the Free plan unless the Owner actively upgrades to a paid plan.
  • Paid subscriptions renew automatically at the end of each billing cycle at the then-current rate unless cancelled before renewal.
  • Fees are quoted exclusive of VAT where applicable and are payable in GBP unless otherwise agreed in writing.
  • Except where required by law, fees are non-refundable once paid. If you cancel a paid plan, you will continue to have access to paid features until the end of the current billing period.

5. Acceptable use

You agree not to:

  • Use the Service for any unlawful, fraudulent, or harmful purpose.
  • Upload content you do not have the right to share, or that infringes any third party's rights.
  • Upload content containing malware, or attempt to probe, scan, or breach the security of the Service.
  • Reverse-engineer, decompile, or attempt to extract the source code or underlying AI model weights of the Service.
  • Use the Service to build a competing product, to train a third-party AI model, or to scrape data from us at scale.
  • Share access credentials between individuals. Each user must have their own seat under your organisation.
  • Use the Service to create or distribute content that is defamatory, discriminatory, or otherwise unlawful.

We may remove content and suspend accounts that breach these rules. Serious or repeated breaches may result in termination without refund.

6. Your content and data

  • You retain all rights in the content you upload or generate through the Service ("Your Content"), including policies, care plans, tender responses, documents, and Easy Reads.
  • You grant NestaDev a limited, worldwide, royalty-free licence to host, process, transmit, and display Your Content solely to operate, secure, and improve the Service and to provide it to your organisation's authorised users.
  • We do not use Your Content to train foundation AI models.
  • You are responsible for the accuracy of Your Content and for ensuring you have the right to upload personal data about third parties (for example, service users in care plans).
  • You must not upload special category data (such as health data) that you are not authorised to process under UK GDPR. If you do process special category data through the Service, you remain the data controller; NestaDev acts as a data processor in accordance with our Data Processing Agreement, available on request.

7. AI outputs and human review

Elsa uses large language models and other AI systems to produce drafts, suggestions, and scores. These outputs are decision-support and must be reviewed by a competent human before you act on them, submit them to a commissioner, inspector, or regulator, or share them with a service user.

  • AI outputs may contain errors, omissions, or out-of-date information.
  • You remain solely responsible for any bid, policy, care plan, or other document you publish, submit, or rely on.
  • We make no warranty that AI outputs will be complete, accurate, or fit for any particular regulatory purpose, including CQC compliance.

8. Our intellectual property

The Service, including its software, design, trademarks ("Elsa", the Elsa wordmark, "NestaDev"), prompts, templates, scoring algorithms, and documentation, belongs to NestaDev or our licensors. Nothing in these Terms transfers ownership of any of it to you. We grant you a non-exclusive, non-transferable, revocable licence to use the Service solely for your organisation's own business purposes, for the duration of your subscription.

9. Third-party services

Elsa integrates with third-party services (for example Google Workspace, OAuth providers, payment processors, and public procurement feeds such as Contracts Finder). Your use of those services is subject to their own terms. We are not responsible for the availability, content, or terms of third-party services.

10. Service availability

We aim to keep the Service available 24/7 but we do not guarantee uninterrupted availability. We may carry out maintenance, deploy updates, or change features. Where we plan material downtime we will use reasonable efforts to give notice in advance.

11. Suspension and termination

  • You may cancel your subscription at any time from your account settings.
  • We may suspend or terminate your access immediately if you materially breach these Terms, if we are required to do so by law, or if we reasonably consider continued access poses a security or regulatory risk.
  • After termination, your Content will be retained for the periods set out in our Privacy Policy and then securely deleted or anonymised unless we are required to retain it by law.

12. Warranties and disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law, NestaDev disclaims all implied warranties (including fitness for a particular purpose, merchantability, and non-infringement) other than those that cannot be lawfully excluded under UK law.

Elsa does not provide legal, medical, clinical, or regulatory advice. Outputs do not substitute for professional judgement or for review by a qualified practitioner, lawyer, or compliance officer.

13. Limitation of liability

Nothing in these Terms limits or excludes our liability for:

  • Death or personal injury caused by our negligence.
  • Fraud or fraudulent misrepresentation.
  • Any other liability that cannot be limited or excluded by UK law.

Subject to that:

  • We will not be liable for indirect or consequential loss, loss of profit, loss of revenue, loss of goodwill, loss of anticipated savings, or loss of or damage to data.
  • Our total aggregate liability under or in connection with these Terms in any 12-month period is limited to the greater of (a) the fees you paid us in that 12-month period, or (b) £100.

14. Indemnity

You agree to indemnify NestaDev against any losses, damages, or costs (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your misuse of the Service; or (c) Your Content infringing a third party's rights.

15. Changes to the Service and these Terms

We may update the Service and these Terms from time to time. Where changes are material we will notify you via the Service or by email. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

16. Governing law and jurisdiction

These Terms are governed by the laws of England & Wales. You and NestaDev submit to the exclusive jurisdiction of the courts of England & Wales, without prejudice to any mandatory consumer-protection rights you may have in your country of residence.
